Refund and Cancellation Policy

1. Introduction

Niransoft Technologies provides custom software development services and subscription-based SaaS platforms. Due to the custom and resource-intensive nature of these services, our refund and cancellation terms are set forth in this Refund Policy. By engaging our services or subscribing to our proprietary platforms, you agree to the terms outlined in this policy, which form part of our Terms of Use and applicable service agreements.

2. Custom Engineering & Development Services

(Applies to Web, Mobile, UI/UX, and AI Integration projects)

Because custom software development involves the allocation of dedicated engineering resources and planning activities, we generally do not provide refunds for these services. Our billing operates on a milestone-based structure, as defined in the applicable service agreement:

  • Advance Payments & Retainers: Any initial deposits, project kickoff fees, or retainers paid to secure our engineering team's schedule are non-refundable.
  • Milestone Deliverables: Payments made for completed and client-approved milestones are final and non-refundable.
  • Mid-Project Cancellation: If a client chooses to terminate a custom development project prior to completion, Niransoft will halt all engineering workflows upon receipt of written notice of cancellation. The client will be billed for all development hours logged and resources utilized up to the effective date of such written notice, and no refunds will be issued for work already performed.
3. Proprietary SaaS Platforms

(Applies to Niransoft POS, EMS, and other cloud-based software subscriptions)

For clients utilizing our hosted, cloud-based software products under a subscription model:

  • Subscription Cancellations: You may cancel your subscription at any time via your administrative dashboard or by contacting our support team. Cancellation will take effect at the end of your current billing cycle, and you will remain responsible for all fees due for the active billing period.
  • No Prorated Refunds: We do not provide prorated refunds or credits for partial months, unused features, or accounts that remain inactive during an active billing cycle.
  • Data Retrieval: Upon cancellation, clients will have a grace period of up to 30 days to export their operational data, after which such data may be permanently deleted in accordance with our data retention and security practices.
4. Maintenance, Support & Hosting Retainers

Annual or monthly retainers for server infrastructure hosting, ongoing codebase maintenance, and API synchronization are non-refundable once services have commenced. If a client wishes to transfer their hosting or maintenance to another provider, at least 30 days' prior written notice is required. The client must settle all outstanding fees prior to transfer, and Niransoft will coordinate the orderly transition of digital assets and access credentials.

5. Exceptional Circumstances & SLA Breaches

Refunds or service credits may be considered only in limited and documented circumstances, including:

  • MSA/SOW Failure: A documented failure by Niransoft to meet the material functional requirements expressly defined in the applicable Master Service Agreement (MSA) or Statement of Work (SOW).
  • SLA Breaches: Material Service Level Agreement (SLA) breaches resulting in extended service downtime directly attributable to Niransoft's infrastructure, as defined in the applicable SLA.

Any such claims must be submitted in writing within 14 calendar days of the incident for formal review. Any approved remedy shall be limited to service credits or other remedies expressly provided in the applicable agreement, unless otherwise required by law.

6. How to Request a Cancellation

All formal cancellation requests, project terminations, or billing inquiries must be submitted in writing to our designated contact email address to ensure a documented offboarding process. Cancellation shall be considered effective only upon written acknowledgment from Niransoft.
