1. Acceptance of Terms

Welcome to Niransoft Technologies ("Niransoft," "we," "our," or "us"). By accessing our website, utilizing our proprietary software ecosystems (including our Enterprise Management System and Point of Sale platforms), or using our engineering services, you agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, you must immediately cease using our website, software, and services.

2. Scope of Services

Niransoft provides software engineering services, including scalable web platforms, cross-platform mobile applications, advanced AI and LLM integrations, and proprietary enterprise SaaS solutions.

• Custom Engineering: Specific custom development projects are governed by separate Master Services Agreements (MSAs) and Statements of Work (SOWs). In the event of a conflict between these Terms of Use and an executed MSA, the MSA shall take precedence.
• SaaS Platforms: Access to our proprietary platforms (e.g., EMS, POS) is provided on a subscription or license basis and is strictly subject to the Acceptable Use Policy outlined below.

3. Intellectual Property Rights

• Niransoft Property: All website content, proprietary software architecture, source code for internal tools (EMS, POS), UI/UX designs, and AI training methodologies developed by Niransoft remain the exclusive intellectual property of Niransoft. You may not copy, reverse engineer, decompile, or distribute our proprietary systems without prior written consent.
• Client Deliverables: For custom engineering projects, intellectual property rights in the final deliverables are transferred to the client only upon full payment of all project milestones, as explicitly defined in the applicable MSA.

4. Acceptable Use & System Integrity

We engineer our systems to maintain high reliability and optimized performance. To maintain this standard, you agree not to:

• Malicious Code: Deploy malicious code, viruses, or unauthorized automated scripts (bots) against our infrastructure.
• Security Bypass: Attempt to bypass our Role-Based Access Control (RBAC) or exploit vulnerabilities within our APIs or web applications and systems.
• Prohibited Content: Use our AI interfaces or generative media tools to generate content that is unlawful, harmful, infringing, or otherwise in violation of applicable laws or regulations.
• Server Overload: Overload our servers or third-party API endpoints in a manner that disrupts the availability, performance, or normal operation of our enterprise systems.

5. Artificial Intelligence & Third-Party Integrations

Our platforms may integrate with third-party services, including large language models (such as OpenAI, Gemini, and Groq), payment gateways (such as Stripe), and logistics APIs (such as UPS). By using features powered by these integrations, you also agree to be bound by the applicable terms and conditions of those third-party providers. While we architect our AI workflows for high levels of accuracy and operational efficiency, AI-generated outputs are provided for informational and operational purposes only. Niransoft does not warrant or guarantee the accuracy, completeness, or reliability of autonomous AI outputs and strongly recommends human review and oversight for business-critical decisions.

6. Disclaimer of Warranties

Our digital platforms and proprietary software are provided on an "AS IS" and "AS AVAILABLE" basis. While we adhere to commercially reasonable engineering and security practices, Niransoft disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not warrant the uninterrupted availability or error-free operation of our public-facing website or SaaS platforms except as expressly set forth in an executed Service Level Agreement (SLA).

7. Limitation of Liability

To the maximum extent permitted by applicable law, Niransoft Technologies shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of data, data corruption, or business interruption, arising out of or related to your use of, or inability to use, our software, APIs, or AI integrations, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if advised of the possibility of such damages.

8. Account Termination

We reserve the right to suspend or terminate your access to our proprietary dashboards, SaaS platforms, or internal tools at any time and without prior notice if we determine, at our sole discretion, that you have violated or are reasonably suspected of violating these Terms of Use, posed a security risk, or engaged in conduct that may expose Niransoft to legal liability.

9. Governing Law & Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising out of or relating to the use of our digital platforms or engineering services shall be subject to the exclusive jurisdiction of the competent courts in Ariyalur, Tamil Nadu, India.
